Biography
Mr. Higham has retired as Of Counsel to the firm.
Mr. Higham's practice emphasized general (non-litigation) business representation, including day-to-day corporate work; contracts; real estate; tax; work with partnerships, joint ventures and limited liability companies; venture capital work; as well as all aspects of mergers and acquisitions.
Mr. Higham's practice involved extensive experience in the negotiation and drafting of agreements of all types, including distribution agreements; employment agreements; implementation of stock option and stock purchase plans; formation of new businesses (including choice of structure); purchases and sales of businesses (together with related financing transactions); real estate leases, purchases, financings and sales; bank financings; technology transfer (including drafting and review of license and other agreements); and all other aspects of general business representation.
Mr. Higham is a native of California, and practiced law in this state starting in 1978. He joined the largest law firm in Orange County when he graduated from law school, and later became a shareholder (partner) in, and a member of the 5-person governing board of, the prestigious business law firm of Stradling, Yocca, Carlson & Rauth. In 1990, he left the life of a large-firm partner to become a founding partner of Higham, McConnell & Dunning, a business boutique law firm emphasizing expertise and experience typically found only in a much larger law firm, yet providing a higher level of personal service, responsiveness and cost effectiveness. Mr. Higham brought that same attitude and background to Robinson & Robinson. Having been a Certified Public Accountant ("CPA") for a number of years, Mr. Higham also brought a unique business, financial and tax background to the practice of law.
Mr. Higham worked with a broad range of clients, including hundreds of individuals and Southern California businesses from start-ups to publicly-held companies; and companies throughout the country in connection with their merger and acquisition activities. Among his more interesting projects were representing the purchaser of a 45% interest in the Minnesota Twins baseball team; the representation of Granada Royale Hometels, which later (by acquisition) became Embassy Suites; and the representation of a start up closely held company which later went through rounds of investment banker capitalizations and acquisitions, went public, and finally completed its life cycle by merger with and into another publicly held company.
